Terms and Conditions

By working with Legal Research Center, Inc. ("LRC"), I agree to the following terms and conditions.

Independent Contractor. I agree to work with Legal Research Center, Inc. ("LRC") on an independent contractor and work for hire basis. I understand LRC is not engaged in the practice of law, the work products and services provided by LRC do not constitute a legal opinion or legal advice and is prepared solely for my and/or my organization’s review and approval. I take responsibility for LRC work product and how I will utilize and/or share it. No attorney-client relationship exists between LRC staff, my organization and/or myself.
Standard of Care. LRC will devote its best professional efforts to the work under assignment. Any written material produced will be LRC's best research judgment based on the information available to LRC and the information provided to LRC by the client.
Warranty and Indemnification. LRC warrants that all research and editorial services furnished hereunder shall be delivered in the agreed upon format and suitable standard for the specific service requested. If any of the services fails to meet the warranty, LRC's obligation shall be limited to correcting the failure either by correcting the deficiency or by price adjustment, as mutually agreed. LRC, including its officers, directors, employees, subcontractors, agents, affiliates, successors, and assignees, shall not be liable to any person or entity for any consequential, incidental, indirect, punitive, special, or similar damages arising out of or relating to the services provided to you. LRC's aggregate liability, if any, shall not be greater than the amount paid to LRC for services rendered for the specific service requested.
Payment Terms. I agree to the payment terms communicated to me by LRC. If I fail to comply with these payment terms, I understand that monthly interest on any unpaid balance shall accrue at the greater of the maximum legal rate permitted by law or 1% per month. I agree that I am responsible for any state or local taxation, if applicable, for LRC work for hire services provided to me and/or my organization. If requested by LRC, I agree to provide LRC with appropriate state and/or local tax documentation for LRC’s work for hire services.
Costs of Collection. Nonpayment of any invoice within the agreed-upon terms may result in referral of the unpaid balance for collection. In the event of any collections activity or litigation arising from or relating to this Agreement, the prevailing party shall be entitled to recover from the non-prevailing party all reasonable costs and expenses incurred, including attorneys' fees, court costs, and all other reasonable expenses incurred in such litigation or collections activity.
Dispute Resolution. The rights and obligations of the parties under this Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, U.S.A.
